B2B Terms of Service & SaaS Agreement

Irish Commercial Standard

Quarkline Technologies • Effective Date: September 2026

1. Agreement to Terms & Commercial Scope

These Terms of Service constitute a legally binding commercial agreement between you (the "Contractor", "Qualified Certifier", "Subcontractor", or "Subscriber") and Quarkline Technologies ("Company", "we", "us", or "our"), governing your access to and use of the Spark Office software-as-a-service platform, mobile Progressive Web App (PWA), and associated websites (sparkoffice.ie).

By subscribing to, accessing, or creating an account on Spark Office, you agree that you are entering into a B2B commercial contract for business, trade, and professional purposes.

2. Qualified Certifier (QC) Technical Independence & Statutory Liability

CRITICAL STATUTORY DISCLAIMER: Spark Office provides computational verification engines, digital form templates, and data formatting tools based on the National Rules for Electrical Installations (I.S. 10101:2020) and criteria published by the Commission for Regulation of Utilities (CRU) and Safe Electric.

However, the Qualified Certifier (QC) or Registered Electrical Contractor (REC) whose name and digital signature appear on any certificate remains solely, strictly, and independently liable for:

  • The physical accuracy and physical execution of all on-site electrical tests (insulation resistance, loop impedance, polarity, RCD tripping times, continuity).
  • Verification that physical test instruments hold valid, accredited 12-month calibration certificates.
  • The physical visual inspection of electrical equipment, enclosures, earthing arrangements, and bonding conductors.
  • Final statutory sign-off and registration of official Safe Electric Certificates 1, 2, 3, Periodic Inspection Reports (PIR), and Notices of Potential Hazard (NoHz) through Safe Electric.

Quarkline Technologies is a software vendor, not an electrical contracting entity, and assumes zero statutory liability for on-site installation defects, delayed disconnection failures, shock hazards, or regulatory disciplinary proceedings.

3. Revenue Commissioners Tax & Invoicing Disclaimers

Spark Office provides computational models for Value-Added Tax (VATCA 2010), Electronic Relevant Contracts Tax (eRCT), Civil Service Motoring Mileage (Circular 16/2022), and Self-Assessment / Corporation Tax returns (TCA 1997).

These features are provided solely as administrative estimating aids and do not constitute chartered taxation or legal accounting advice. You remain responsible for:

  • Reviewing all two-tier 13.5%/23% split VAT line items and applying the statutory Section 41 Two-Thirds Rule where materials exceed 66.67% of contract value.
  • Verifying eRCT deduction authorisations directly with Revenue Online Service (ROS).
  • Retaining statutory physical and digital purchase dockets for the mandatory 6-year retention period under Section 886 TCA 1997.

4. Subscriptions, Fees & Billing Terms

Subscriptions are billed in advance on a recurring monthly or annual basis via Stripe Payments Europe, Ltd.

  • Spark Solo (€19/mo + VAT): For apprentices and non-REC maintenance operatives.
  • Spark Office Pro (€99/mo or €900/yr + VAT): Full statutory compliance assistance, ESB, DAFM, and Revenue suite for Single Signatory RECs.
  • Spark Crew (€199/mo + €19/seat + VAT): Multi-van contracting firms with master QC approval workflows.

5. Offline PWA Operation & Local Storage

Spark Office is an offline-first Progressive Web App utilizing client-side browser storage (IndexedDB / Dexie.js). You acknowledge that clearing your browser cache, resetting your device, or uninstalling the PWA without prior export or database synchronization may result in the loss of unsaved local drafts.

6. Limitation of Liability

To the maximum extent permitted by applicable Irish law, Quarkline Technologies shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data loss, business interruption, Revenue penalties, or statutory fines arising from the use of or inability to use the platform.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Ireland. Any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Courts of Ireland.
